SHORT DESCRIPTION: Bylaws Proposal Responses due April 18, 2025

LONG DESCRIPTION: Following a discussion regarding ERCOT 2025 Membership Applications and Agreements that took place at the Technical Advisory Committee (TAC) meeting on September 19, 2024 (Item 15) and a Segment Membership discussion that took place at the TAC meeting on November 20, 2024 (Item 12), ERCOT held a workshop on February 14, 2025. Written and verbal presentations and concepts at the workshop included changes to Membership Segments and related definitions in the Amended and Restated Bylaws of Electric Reliability Council of Texas, Inc. (ERCOT Bylaws).
To better evaluate any proposed Bylaws changes, ERCOT requested that any interested entity submit a proposal with Bylaws redlines by Friday, March 14, 2025. ERCOT received three different proposals, which can be found and reviewed under "key documents" on the February 14, 2025 workshop page. Interested entities should review these three proposals.
Any responses to these three proposed Bylaws redlines are requested by April 18, 2025 and should be sent to membership@ercot.com, after which ERCOT will post those responses on the same February 14, 2025 workshop page. Responses should clearly state to which proposal the response is being submitted to and whether the Responder is in favor of or against the proposal. ERCOT will then evaluate whether another workshop is warranted.
ERCOT staff plans to provide an update at the ERCOT Human Resources and Governance (HR&G) Committee of Member discussions and any potential Bylaws proposals at its April 7, 2025 meeting. This would be purely a status update in order to set future expectations of a possible Bylaws amendment process.
Note that the ERCOT Bylaws are the governing document for Segment definitions; any change will require a Bylaws amendment, which also requires ERCOT Board and Public Utility Commission of Texas (PUCT) approval. Consistent with Article 13 of the Bylaws, Corporate Members will be provided a minimum of 21 days’ advance notice and the opportunity to comment on any proposed Bylaws amendment prior to Board action.
